Our client operates in the Financial sector, with its headquarters rooted strongly in the United States. It has its branches spread to more than 160 countries, providing employment to more than 200k people all over the world. They fall in the Top 15 largest Banks in the United States. Its core business is to provide various Banking and Financial services to its clients. It is known to have one of the biggest balance sheet banks in the world (among others) aiding it to offer 360-degree financial services to its clients.

Responsibilities:

  • Provide legal advice and guidance to the Canadian Banking, Capital Markets and Advisory team on a broad range of franchise-related matters and transactions including derivatives and structured finance deals
  • Provide Canadian specific legal advice to global affiliates in relation to Capital Markets transactions, regulatory issues/changes and global projects
  • Provide advice on corporate governance matters in relation to multiple entities, including Global Markets Canada Inc. (including acting as corporate secretary)
  • Prepares, communicates and educates internal client groups on changes in policies, rules and proposed rules and practices within the organization as it pertains to Capital Markets
  • Support other Canadian businesses as necessary including Corporate Banking and Wealth Management
  • Work closely with Independent Compliance Risk Management, global Legal colleagues and establish strong working relationships throughout the organization
  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding , its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.

Requirements:

  • 5+ years of experience in securities/capital markets/derivatives gained at a leading law firm, government entity, financial institution, asset manager or as in-house counsel
  • Experience drafting and negotiating ISDA agreements with exposure to broader securities related matters
  • The individual must be a highly motivated, self-confident, pragmatic team-player with excellent communication skills
  • Comprehensive knowledge of Canadian laws and practices
  • Proven analytical and organizational skills and ability to manage competing priorities and associated deadlines
  • Bar license in good standing to practice law in a province/territory of Canada
  • Bachelor's degree/University degree or equivalent experience
