The Role
We are seeking an additional Legal Counsel in our Ottawa, Ontario office to cover an 18-month Maternity Leave to join our growing company. There is a potential that this position could be extended or made permanent.

The Role
We are seeking an additional Legal Counsel in our Ottawa, Ontario office to cover an 18-month Maternity Leave to join our growing company. There is a potential that this position could be extended or made permanent.
Key Responsibilities
Negotiate and draft commercial agreements, such as master software and services agreement, partnership and vendor agreements, NDAs, and terms of use; Review and help with responding to requests for proposal (“RFP”); Provide support to management and other departmental groups in order to develop legal strategies and solutions; Help identify legal and other risks regarding different company initiatives; Research and advise on a variety of areas of law including, intellectual property, labour and employment, compliance, corporate governance Liaise with external counsel as necessary. Provide assistance with other legal department/company projects from time to time.
Desired Qualifications And Experiences
LL.B. or J.D. degree. Good standing with the Law Society of Ontario. At least 3-5 years’ experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs. Experience working with customers located in the United States. Ability to work with internal stakeholders at all levels to achieve a common goal while taking into consideration both legal and business issues and risks. Experience working in an in-house environment, preferably in the software industry. Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently. Experience working with government bodies and public safety agencies. Efficient, effective, well organized, and able to prioritize and manage multiple projects.
