We are currently seeking a In House Counsel to join our TROIKA team.

We are seeking an experienced In-House Counsel to join our dynamic real estate development, construction and management company. Reporting to the CGO, the In-House Counsel will oversee all legal matters relating to the operations of the development and construction business of the Troika Group of companies. The ideal candidate will provide comprehensive legal support across all areas of our business, including the negotiation of leases, review and drafting of joint venture agreements, limited partnership agreements, and ensuring compliance with all relevant laws and regulations. This role offers the opportunity to work closely with senior management and various departments to facilitate smooth and legally sound business operations. The position is based in Kelowna, B.C.

Key Responsibilities:

1. General In-House Legal Support:

  • Provide day-to-day legal counsel on a wide range of matters including corporate governance, regulatory compliance, contracts, and employment law.
  • Draft, review, and negotiate a variety of legal documents including service agreements, NDAs, and vendor contracts.
  • Advise on and liaise with expert external lawyers on matters relating to employee issues, employment law, and workplace policies.
  • Liaise with external legal counsel as needed and manage outside legal resources efficiently.
  • Advise senior management on risk management, strategic decisions, and legal implications of business operations.
  • Provide legal counsel on real estate transactions such as acquisitions, dispositions, financing, and property management.
  • Review and draft legal documents including purchase and sale agreements, construction contracts, and service agreements.
  • Monitor and advise on changes in relevant real estate, tax, and corporate law.

2. Lease, Joint Venture, Partnership Agreements 

  • Draft, review, and negotiate commercial, retail, and residential lease agreements, joint venture agreements, and limited partnership agreements
  • Provide legal guidance on the structure and negotiation of joint ventures, and partnerships, ensuring alignment with the company’s business goals and compliance with laws.
  • Ensure all agreements, including leases, comply with local, provincial, and federal regulations.
  • Manage amendments, renewals, and disputes related to leases, and joint ventures, working with external partners and internal stakeholders.

3. Investment Structuring

  • Assist with structuring new investments, including creating and managing various real estate funds, and advise on the legal implications of these structures.
  • Provide legal guidance on the structure and negotiation of investment vehicles, ensuring alignment with the company’s business goals and compliance with laws.
  • Collaborate with external accountants and other consultants in the design and implementation of new real estate investment vehicles including funds and partnerships.
  • Manage amendments, renewals, and disputes related to investment structures, working with external partners and internal stakeholders.


4. Compliance and Risk Management

  • Ensure the company complies with all applicable laws, rules, and regulations governing real estate development, property management, and corporate operations.
  • Develop and maintain internal legal compliance programs and policies.
  • Manage litigation and dispute resolution, working with external counsel as necessary.
  • Provide legal training and updates to employees regarding real estate laws, corporate governance, and compliance requirements.

5. Corporate Governance

  • Assist with corporate governance matters including board resolutions, corporate filings, and maintaining corporate records.
  • Act as Corporate Secretary(?)Advise senior management on legal matters impacting the company’s overall strategy and operations.

Support Business Initiatives

Provide support on business initiatives or special projects that leverage the legal expertise, analytical skills, and strategic insight of the In-House Counsel, even when not strictly legal in nature. This may include assisting with corporate strategy, policy development, contract negotiations, governance improvements, or other operational matters as required.

Qualifications:

  • Juris Doctor (JD) from an accredited law school and admission to the state bar.
  • Minimum of 4-7 years of experience as a practicing lawyer in a corporate setting.
  • MBA is optimal but not required. Should have a solid business acumen, however.
  • Experience structuring and advising on funds, including real estate transactions and other corporate finance and securities initiatives. 
  • Proven ability to negotiate and manage complex legal agreements.
  • Excellent written and verbal communication skills with the ability to explain legal concepts in business terms.
  • Highly organized and able to manage multiple projects and deadlines in a fast-paced environment.
  • Strong problem-solving and risk mitigation skills.
