 SCOPE 

Triple Flag is seeking a full-time Director, Legal, in Toronto or Vancouver, Canada, working directly with the General Counsel in support of new and ongoing initiatives. The position will report to the General Counsel (who is based in Vancouver) and be responsible for leading or supporting corporate governance processes and advising on a variety of corporate commercial matters and securities law. Triple Flag is looking to add bandwidth to support the increasing needs of Triple Flag and its executive management team. 

The successful candidate will have between 2 and 6 years of related experience in corporate commercial and securities law, preferably with a national law firm. Experience in transactions in the mining sector or involving royalties and streams will be an asset. The Director, Legal’s responsibility is primarily to support the General Counsel and as well provide support to the Triple Flag team, while maintaining relationships with external legal counsel and other advisors. Other duties and responsibilities will include identifying and resolving legal and regulatory issues, risks, and concerns; drafting, reviewing, and negotiating a broad suite of legal agreements (including royalty and stream agreements); assisting in the preparation and management of Triple Flag’s continuous disclosure documents and obligations; conducting research; and preparing, filing documents and board materials. Attention to detail, strong organizational and communication skills, are all needed to be an effective contributor to the team. Initiative and a positive and collaborative attitude will round out the candidates’ profile. 

ROLE RESPONSIBILITIES 
• Providing primary support and assistance to the General Counsel and general assistance to the Executive Management Team in the administration of Triple Flag’s portfolio of assets and as well as corporate development and other initiatives. 
• Drafting, proofreading, and editing correspondence, disclosure, and aiding corporate governance activities (including the preparation of board of directors meeting materials). 
• Drafting and negotiating agreements, including but not limited to royalty and stream agreements, confidentiality agreements, and other legal documents and continuous and timely disclosure documents. 
• Conducting legal research. EXPERTISE/EDUCATION REQUIRED 
• Law degree (LLB or JD), member in good standing of a provincial bar, and the ability to work in Canada, without sponsorship. 
• Minimum of 2 years’ experience in corporate commercial and securities law and experience in the mining industry, and or with royalty and stream transactions, in general, is an asset. 
• Previous in-house experience is not necessary but would be an asset. 
• Knowledge of Canadian public company regulatory framework, including proficiency in the preparation of public disclosure documents. 
• Experience and proficiency in negotiating and drafting commercial contracts and transaction management. 
• Ability to provide sound, risk-informed and practical advice. 
• Decisiveness and ability to carry out responsibilities with minimal direction/supervision. 
• Self motivated and detail oriented with strong organizational skills & work ethic. 
• Highly focused with attention to detail and an ability to prioritize and proactively manage/complete multiple projects.
