Our platform combines:

Reservewinter (multi-mountain booking engine)

Snowclub (social commerce & ski club hub)

Snowbus (transportation network and user funnel)

We’ve proven traction (100% organic) and just came off a high-profile showing at Web Summit Vancouver. Now we’re actively raising capital, onboarding staff and contractors, and preparing for public crowdfunding — and we need sharp legal guidance to make sure our foundation is rock solid.

The Role

This is a startup-focused legal role — someone who can work directly with the founder to:

• Handle fundraising docs (SAFEs, investor agreements, crowdfunding compliance)

• Set up proper staff + contractor agreements and deferred comp structures

• Structure our employee option pool and equity frameworks

• Review and refine website terms, privacy policies, disclaimers

• Advise on governance as we grow (board, bylaws, compliance, etc.)


You’ll be the legal backbone that keeps our raise, hiring, and product aligned with best practice.


Key Responsibilities

• Draft/review fundraising docs (SAFE, SPV, subscription agreements)

• Ensure compliance with Canadian and U.S. equity crowdfunding regulations

• Formalize staff/contractor agreements, deferred pay terms, and NDAs

• Advise on equity and option pool setup for early hires

• Update website policies (privacy, T&Cs, disclaimers)

• Support corporate governance, cap table management, and investor rights

• Flag legal risks and create clear, founder-friendly solutions


What We’re Looking For

• Legal background in startup fundraising + corporate governance

• Familiar with SAFEs, option pools, and early-stage hiring structures

• Experience in crowdfunding / securities compliance (Canada & U.S. a plus)

• Ability to move quickly and balance pragmatism with risk management

• Bonus: prior work with marketplaces, travel tech, or consumer platforms


Engagement Details

• 4–8 week pilot (flexible 10–20 hrs/week)

• Deferred comp: hourly, with potential equity/bonus tied to continuation

• Work directly with founder + finance team on live raise and ops

• Remote, async-friendly, with ~2 syncs/week
