We’re looking for Resource Lawyers, EHG to join our team to enhance our service delivery model for early and growth stage venture clients for their corporate transactions, such as incorporations and financings. These roles will work alongside our leading legal professionals in our Emerging and High Growth Companies Group.

Responsibilities:

  • Work with leading legal professionals in our Emerging and High Growth Companies Group on corporate transactions (including financings) for early and growth stage venture clients.
  • Assist in the formation, organization and reorganization of corporate entities and prepare related organizational documents based on venture-backed industry standards.
  • Support and facilitate transaction closings and prepare related documents using leading legal technologies.
  • Review entity records and conduct due diligence reviews for onboarding or transactional matters and prepare due diligence reports and related documents.
  • Assist with the administration of stock option plans and other general corporate matters.
  • Create and maintain capitalization tables, including through the use of cap table management software and legal entity management software.
  • Maintain SAFE, share, option, warrant and convertible debt registers.
  • Proactively seek opportunities to leverage existing and future legal technologies on corporate transactions with early and growth stage venture clients.
  • Contribute to the continued design and improvement of our enhanced service delivery model for early and growth stage venture clients.
  • Assist with gathering and analyzing data for our leading Deal Points Report: Venture Capital Financings.
  • Input deal data into internal deal tracking software.
Skills and Experience:

Do you have what we’re looking for?

  • Called to the Alberta Bar (new calls are welcome to apply).
  • Bilingual (French and English) an asset but not essential.
  • Have corporate law experience, specifically in M&A, Private Equity, and/or Capital Markets.
  • Ideally have prior experience with due diligence, contract analysis, closings, and other routine elements of complex transactions.
  • Be proficient using technology and adaptable to change.
  • "Roll up your sleeves" attitude.
  • Ability to work evenings and weekends as required.
