Role Summary:
Reporting to the SVP, Legal, the Junior Paralegal - Corporate and Contracts will assist internal legal counsel both with corporate transactions, including reorganizations, acquisitions and dispositions, and with contract templates and contract preparation. This role is responsible for initial drafting of contracts, ancillary documents for corporate transactions and due diligence reports, filing of some corporate transactions, as well communicating with internal and external legal counsel and people in the business.

Core Responsibilities and Duties:
  • Completes simple corporate transactions (including incorporations, annual returns, dividends, name changes, director changes, share redemptions, etc.)
  • Completes due diligence for corporate transactions, including (i) reviewing minute books and preparing minute book reports and (ii) reviewing due diligence searches and preparing due diligence reporting for review by internal legal counsel
  • Prepares ancillary documents (share certificates, share assignments, etc.) for corporate transactions
  • Prepares and completes registrations and basic filings at Corporate Registry (Change of Director, Annual Return)
  • Maintains project agendas for corporate transactions, including regular updates
  • Works directly with internal and external legal counsel and people in the business during closings, reorganizations, and corporate transactions
  • Serves as initial point of contact for people in the business who require contract templates and template contract language
  • Explains contract terms and conditions to people in the business
  • Analyzes potential risks involved with specific contract terms
  • Drafts basic amending agreements (renewals, etc.)
  • Assists with finalizing documents and coordinating signatures on documents
  • Maintains records and file management systems
  • Drafts correspondence as needed by internal legal counsel
  • Performs initial screenings and evaluation of information
  • Stays up-to-date with legislative changes related to relevant business corporation acts and coordinate with the legal department as needed
  • Administrative duties as required, including formatting and finalizing documents

Education, Experience and Skills:
  • Bachelor’s Degree or Post-Secondary diploma in a related field (examples: bachelor's degree or diploma in paralegal or legal studies, paralegal certificate, bachelor's degree or diploma legal assistant)
  • 1 - 2 years of previous/related experience
  • CORES I certification is required
  • CORES II and III certifications are considered an asset
  • Basic knowledge of contract law and principles is required
  • Highly skilled in Microsoft Word, PowerPoint and Adobe
  • Superior skills in Microsoft Excel
