About the Role:

OEG is looking for an exceptional transactional lawyer to join our Legal Services team in the Edmonton or Toronto office. Reporting to the General Counsel, the Director, Legal, will provide legal advice and counsel to the business divisions under OEG. This role is primarily responsible for reviewing, negotiating, and drafting financing, acquisition and disposition agreements and related documents; establishing and managing transaction project plans; reviewing, assessing, and advising on issues arising from due diligence; and managing and collaborating with external counsel.

The Director, Legal, will have the opportunity to be located in the office of their choosing. This opportunity can be headed in our Downtown Edmonton office, or our Downtown Toronto office.

 

Your Focus in this Role:

  • Responsible for providing legal advice and counsel to the four business divisions (sports & entertainment, real estate, retail cannabis, and hospitality).
  • Oversee and conduct acquisitions and dispositions while working with external law firms and internal counsel.
  • Oversee and conduct banking and financings transactions while working with external law firms and internal counsel.
  • Oversee and document corporate transactions such as reorganizations, resolutions, and corporate formation.
  • Oversee and conduct a broad range of corporate-commercial transactions, including commercial leasing.
  • Provide independent counsel on a broad range of legal, business, regulatory and compliance matters.
  • Overseeing and coordinating the management of litigation as and when required.

Education, Experience and Skills:

  • 7+ years’ experience as a corporate-commercial lawyer at a top-tier law firm and/or in-house legal department, with an emphasis on corporate commercial transactions, licensed to practice (or can become licensed to practice) in Alberta or Ontario
  • Experience in one of more of the following areas of law is desirable:
    • mergers & acquisitions
    • financing
    • leasing
  • Comprehensive understanding of legal risk and related legal risk management strategies
  • Excellent contract drafting, negotiation and analytical skills
