Legal Counsel - In House (Remote)



The ideal candidate will be responsible for commercial legal matters including drafting agreements, addressing compliance issues, and participating in negotiation discussions. In order to succeed, this candidate should feel comfortable working with business teams on a variety of legal matters. 


Main responsibilities:
  • Provide Business Unit strategic and operational legal advice to the senior management on commercial matters.
  • Draft, review, negotiate, and advise on complex and high-value commercial agreements with customers, suppliers, partners, and other stakeholders internationally.
  • Ensure compliance with applicable laws, regulations, policies, and best practices in all commercial transactions and operations.
  • Identify, assess, and mitigate legal risks and liabilities arising from commercial activities.
  • Manage and resolve commercial disputes and litigation.
  • Develop and implement legal policies, procedures, and training programs to support the business objectives and ensure legal excellence.
  • Monitor and anticipate changes in the legal landscape and advise on their implications for the business.
  • Liaise with external legal counsel and regulators, as required.
  • Provide reports, assessments and participate in strategic planning with the Head of Legal.

Contracts
  • Commercial contract drafting and negotiation internationally.
  • Administration including record keeping, review and management process
  • Escalating to and seeking approval from Head of Legal/Portfolio Legal (Contract Execution, New country approval, contract deviation)
- Reviewing and advising on legal terms related to RFP submissions
- Managing day-to-day legal advice and support
- Maintain legislative and regulatory updates relevant to geography and VBU Group
- Escalating any issues to Head of Legal
- Providing quarterly reporting to Head of Legal

Regulatory 
  • Compliance/non-compliance
- Enforcing Lumine Policies and procedures
- Developing Motive specific policies and procedures that align with Lumine
- Enforcing Lumine discipline and good practice for our businesses in respect of:
*compliance with Lumine ways (Contract Execution, New country approval, contract deviation)
*contracting and contract operations
*document and record management
*internal approvals processes
  • Escalating issues with BU compliance with the foregoing and any corporate policies
  • Anticipating and advising on legal risks involving the Group companies
  • Managing litigation (if any) with governance from Lumine Legal
  • Working with outside counsel for BU specific matters (subject to corporate approval).
  • Managing general legal matters for the assigned businesses, including ongoing filings, with governance from the Head of Legal.

Requirements
  • Law degree and is currently licensed to practice law in Canada with global experience.
  • Extensive experience in commercial law, preferably in-house or in a leading law firm serving the TelCo space.
  • Knowledge of relevant laws and regulations affecting the industry and markets of the company assigned.
  • Integration of new acquisitions experience would be an asset.
  • Willingness and ability to travel internationally from time to time.
  • Strong business acumen and strategic thinking capability, with ability to see beyond legal parameters towards operational excellence to support group success.
  • Proven ability to work independently and manage multiple shifting priorities in a fast-moving environment.
  • Adept with Microsoft Office tools
  • Expertise in contract drafting, negotiation, and management.
  • Strong leadership, management, and communication skills
  • Ability to work effectively with cross-functional teams and diverse stakeholders.
  • Positive attitude, with ability to motivate others, instilling the desire and confidence of their team to “win” and enjoy being part of a successful growing business.
