Fresh off a Series A venture capital raise, and backed by a group of leading institutional investors, Hiive is a fintech/marketplace startup offering a revolutionary trading platform for buyers and sellers of shares in private late-stage venture-capital backed companies and “unicorns." The platform allows qualified investors to trade directly with another party, without the need for a live broker. By developing solutions that streamline and automate shares trading, Hiive aims to unlock the full value of the private markets for investors, employees, and the management teams of pre-IPO companies. 

In this role, you will be a foundational part of our execution team. Reporting to the Director, Execution Services, you will support transaction closings, liaise with parties and their counsel and other stakeholders, and help Hiive’s customers unlock the value of their startup stock.

This is the perfect role for a junior or mid-level lawyer with an entrepreneurial mindset, incredible attention to detail, and a passion for learning and growing, who wants to get out of a firm or large company and move into a dynamic, fast-paced startup environment.

Key Responsibilities & Challenges:
  • Work with the execution team on all of Hiive’s transaction execution and issuer support initiatives and processes, working closely with buyers and sellers, legal counsel, and issuers, to achieve excellent outcomes. 
  • Maintain relationships with outside legal counsel, and support the maintenance of relationships with key regulators in Canada and the US.
  • Maintain agreements and communication templates to support all execution products and services. 
  • Draft and prepare purchase agreements and signature packages and facilitate the transaction closing process.
  • Liaise with parties to provide updates and troubleshoot issues.
  • Work within Hiive’s CRM and other information systems to organize and track important information.
  • Work with the compliance team to support KYC, AML and other compliance and regulatory objectives. 
  • Support the Director, Execution Services with the development of new processes and ways of working.

Requirements:
  • JD or LLB (or equivalent), and member in good standing of the Law Society of Ontario or the Law Society of British Columbia OR a licence to practise law in a US state.
  • 2+ years of relevant legal experience at a top US or Canadian law firm or corporate in-house setting.
  • Resourcefulness and the ability to solve difficult problems. 
  • Excellent attention to detail, resourcefulness and speed of execution.
  • Strong multi-tasking skills. 
  • Ability to communicate priorities and deadlines with internal and external stakeholders, and build constructive high-trust relationships across teams and functions.
  • A track record of sound judgement and composure in fast paced environments.

Nice to have: 
  • Experience in a tech start-up, high growth company, or private equity or venture capital fund, or in a law firm in a corporate transactional role.
  • Experience advising fintech companies or financial institutions, such as investment banks, private funds, exchanges or trading platforms, or broker dealers/intermediaries on matters involving market regulation, compliance and enforcement.

The pay range for this role is:
90,000 - 120,000 CAD per year (Vancouver HQ)
