The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The Commission’s mandate is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair and efficient capital markets and confidence in capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

The Derivatives Branch assists the OSC in the delivery of its strategic goals and priorities through policy development, regulatory advice and research, and support for the OSC’s business planning, policy prioritization and risk management processes. A core component of the OSC’s strategic direction is to expand the organization’s research and analytical capabilities to be able to respond to, and keep pace with, market developments and investor concerns. As a part of this focus, we are seeking a Legal Counsel. This is an excellent opportunity to assist with the regulation of derivative markets in Ontario.

Key Duties of the role are as follows:

  • Assisting in the development and implementation of derivatives regulation in Ontario
  • Assisting in the operation of the derivatives rule compliance program by assessing whether the activities of market participants comply with derivatives regulations 
  • Interacting with staff of market participants to evaluate the effectiveness of a firm’s controls
  • Drafting rules, companion policies, notices, Commission memos, etc.
  • Processing exemptive relief applications
  • Participating in domestic and international working groups, committees and task forces
  • Researching and analyzing the policy implications of new and novel issues
  • Conducting research on legal and regulatory issues (background and context), analyzing and assessing derivatives market information, and reviewing the regulatory structure, rules and policies in other jurisdictions to identify international standards and practices
  • Providing derivatives advice to other branches of the OSC
  • Developing positive relationships with others, and coordinating various aspects of projects and policies with appropriate staff across the Commission
  • Meeting timelines and deadlines, anticipating and identifying next steps, and keeping the Manager up to date on progress
As the successful candidate, you possess the following qualifications:

  • Undergraduate degree in Business/Commerce/Finance or equivalentMembership in good standing with the Law Society of Ontario
  • An LL.M. would be an asset
  • Derivatives Fundamentals Course or Certified Financial Analyst Charter or completed Level 1 would be an asset
  • Understanding of the Canadian derivatives and securities regulatory environment
  • 1-3 years’ experience at a major law firm, in the banking or securities industry, the financial regulatory sector, government or a related field
  • Practical experience in policy development, preferably gained in a government, legal or regulatory setting
  • Experience in a compliance, audit or supervisory function with a market participant would be an asset
  • Excellent analytical skills and ability to think outside the box
  • Ability to work well with individuals at all levels and across sectors and jurisdictions
  • Excellent organizational skills and detail orientation
  • Superior communication skills, both written and oral, and ability to draft concise briefing material, submissions and other reports using plain language
