The Legal Counsel, Aerospace and Defence reports to the Vice-President, Legal Services, General Counsel and Corporate Secretary, and is responsible to provide timely legal services to all sectors of the Corporation on issues affecting the operations of the Corporation. This primarily includes advising of legal risks associated with negotiating, drafting, and interpreting contracts related to the Corporation’s activities pursuant to the Defence Production Sharing Agreement (“DPSA”) and providing legal advice and assistance in respect of the activities related to procurement for other government departments.
Roles and Responsibilities
Provides legal advice to officers and senior officials of the Corporation.
Interaction and collaboration with the Business Development Unit at CCC to identify and assess corporate and transactional risk in all areas.
Participates in the negotiation and drafting of a variety of agreements of varying complexities, particularly international commercial transactions in the aerospace and defence sectors.
Reviews legal documents and correspondence to determine their legality and adherence to Corporation guidelines and standards; recommends alternatives in cases of non-compliance to ensure legally acceptable decisions.
Participates in ensuring that Corporation activities, programs, and policies conform to Canadian law; advises on consequence and recommends corrective courses of action.
Assists the Corporation in the preparation of cabinet documents, Treasury Board submissions, and communications strategies.
Prepares and presents briefings to senior officials of the Corporation on significant legal developments and case law.
Assists in the provision of training on legal issues to staff of the Corporation.
Adheres to the CCC Policy Suite and related procedures and instructions.
Requirements
Minimum of 6 years of commercial law and international contracting experience.
Extensive experience and knowledge within the aerospace and defence industries.
Effective communication and drafting skills in both official languages (C-C-C) is strongly preferred.
Successful completion of a university degree in Law.
Member in good standing of a provincial Bar Society/Association Professional.
Experience with providing advice on major governmental, operational, policy development and legislative initiatives and the preparation of cabinet documents, Treasury Board submissions, and communications strategies.
Extensive knowledge of CCC business context, programs, services, and policies
Knowledge of theories, principles, and concepts of Canadian law including knowledge of the theories, methods, techniques and practices of statutory interpretation, legal research methods, both electronic and traditional, comparative legal analysis, and opinion writing.
Knowledge of international and federal government contract practices
Working knowledge of the Defence Production Sharing Agreement and the application of the FAR and DFARS.
Knowledge of negotiation techniques and practices.
Knowledge of theories, techniques and practices of policy development, implementation and amendment.
Knowledge of training techniques to assist in the provision of training to Corporation staff who are unfamiliar with legal issues.
