Location: For this role we are open to remote work located within the United States or Canada.

About the Opportunity:

Reporting to Ceridian’s Senior Vice President, Associate General Counsel - Commercial, the Legal Counsel role will work collaboratively with internal stakeholders from Ceridian’s Legal department and various functional areas in the business, in the preparation, review and negotiation of both government (US and Canadian local, state, provincial, and federal) and commercial contracts. Additionally the role will provide general legal advice on data security, intellectual property, licensing, litigation, mergers & acquisitions, real estate, and other areas as assigned and other matters as applicable.

What you'll get to do: 


  • Prepare, review, and negotiate a variety of legal contracts and agreements, including government contracts for US and Canadian local, state, provincial, and federal customers; 
  • Provide comprehensive legal guidance on establishing a Ceridian’s public sector strategies and government contracts program, including development of policies and procedures to align with US and Canadian federal requirements, policies and procedures; 
  • Provide legal advice on a variety of practice areas, including, but not limited to commercial, data security, intellectual property, licensing, litigation, mergers & acquisitions, real estate, and other areas as assigned; 
  • Remain aware of changes in laws and regulations affecting assigned practice areas, including contracting updates affecting federal and state, provincial and local ; 
  • Perform other related duties as needed. 

Skill and Experience we value:


  • Juris Doctorate with at least 8 years’ experience in either a large global in-house legal department or law firm; 
  • Substantive experience negotiating and drafting complex technology contracts including Software as Service (SaaS) Agreements, Master Services Agreements, Statements of Work, Consulting Agreements, Independent Contractor Agreements Data Processing Agreements and Software License Agreements; 
  • Experience providing legal guidance requirements, rights, obligations and legal risks; on government contracting, including advising on GSA and FAR 
  • Experience working with global enterprise level sales teams and customers with changing priorities and rapid deadlines; 
  • Excellent judgement and analytical skills, with the ability to assess risk and provide practical recommendations; 
  • Possess workflow prioritization skills, with the ability to work independently and as a member of a global team, in a fast-paced business environment; 
  • Skill writing reports, including framing factual and legal issues in writing for a legal opinion and making recommendations for action; 
  • Responsive and able to adapt shifting priorities; 
  • Strong ability to communicate and maintain effective relationships with customers, vendors, and internal Ceridian personnel; and 
  • Acute attention to detail.
